These Terms of Service (“Terms”) govern all access to and use of Prosperdigm (operated by Newson International Ltd, company number 13582941, registered in England & Wales, “we”, “us”, “our”) and any associated platforms, tools, services, or related websites including ProfilePartner integrations.
By purchasing, subscribing, or using any Prosperdigm plan or service, you (“Client”, “User”, or “You”) agree to be bound by these Terms.
1. Definitions

“Prosperdigm” refers to the software platform, service systems, and outreach management processes owned by Newson International Ltd.

“Plans” means our service tiers: Software (DIY), Done-With-You (DWY), and Done-For-You (DFY).

“Billing Cycle” means the recurring subscription period (monthly, quarterly, or annual).

“Notice Period” means 30 days written notice prior to any cancellation, downgrade, or termination.

“Verified Agent(s)” refers to ProfilePartner or Prosperdigm-approved LinkedIn agents operating under ID-verified accounts.

“Client Data” refers to information, lists, leads, and content provided or uploaded by the Client.
2. Scope of Services
Prosperdigm provides B2B LinkedIn outreach software and managed appointment-generation services combining automation, verified agent systems, and CRM integrations.
Depending on your chosen Plan:

DIY (Software) – access to the Prosperdigm software, dashboards, templates, analytics, and limited support.

DWY (Done-With-You) – includes setup, ICP research, copywriting, campaign configuration, coaching, and integration support.

DFY (Done-For-You) – includes full campaign management, inbox handling, appointment setting, CRM sync, and reporting.
All services are delivered remotely.
3. Billing and Payments
3.1 Subscriptions are billed in advance through Stripe or other authorised payment processors.
3.2 Accepted billing cycles: Monthly, Quarterly (10% off), or Annual (25% off).
3.3 All fees are exclusive of VAT unless otherwise stated.
3.4 By subscribing, you authorise recurring charges until cancelled with valid notice (see Section 6).
3.5 Failed or declined payments may result in immediate suspension of service.
4. Refunds and Credits
All Prosperdigm services are non-refundable once initiated, as digital systems, seat allocations, and software licences are provisioned upon payment.
Refunds will only be considered in cases of:

Proven duplicate charge or technical billing error.

Service not activated within 7 business days of payment (excluding client delay).
No refunds are issued for partial billing periods or unused portions of time within a plan.
5. Service Delivery and Timelines
5.1 DFY and DWY setup timelines commence only after:

Full payment has cleared, and
-
Client completes required onboarding forms and provides assets.
5.2 Delays in Client response, access, or approvals will extend delivery timelines.
5.3 Performance guarantees (such as booked calls or outreach volumes) are contingent on proper Client cooperation, product-market fit, and compliance with LinkedIn platform limits.
6. Cancellation, Downgrade, and Notice Period
6.1 Either party may terminate the subscription by giving no less than 30 days’ written notice prior to the next renewal date.
6.2 Notice must be sent via email to billing@prosperdigm.com and confirmed by acknowledgment.
6.3 Early cancellation or mid-term downgrades do not qualify for prorated refunds.
6.4 Failure to provide the 30-day notice will automatically renew the subscription for the next billing cycle.
6.5 Upon cancellation, all access (software, dashboards, verified agents) will be revoked at the end of the paid term.
7. Upgrades and Add-Ons
Add-ons (e.g. Verified LinkedIn Profiles, extra senders, Sales Navigator seats, or additional reps) are billed separately and added to your existing subscription term.
Each additional sender, Sales Navigator licence, or rep costs:

$50 per sender/month

$50 per Sales Navigator licence/month

$85 per rep/month
Upgrades become effective immediately; downgrades follow the 30-day notice rule.
8. Client Responsibilities
You agree to:

Provide accurate and lawful business information.

Maintain professional conduct in outreach and communication.

Avoid prohibited or misleading outreach content.

Respect LinkedIn’s User Agreement and all applicable anti-spam, data, and privacy regulations (including GDPR and PECR).
You remain solely responsible for the content, targeting, and legal compliance of your campaigns.
9. Account Safety & Compliance
Prosperdigm operates with secure account environments (e.g. AdsPower or similar).
However, due to the nature of LinkedIn’s platform, we cannot guarantee absolute immunity from restrictions or account limits.
All clients agree that:

Account warm-up and safety protocols must be followed.

Any misuse, excessive activity, or policy violation voids our responsibility for account restriction.
10. Confidentiality and Data
Both parties agree to keep all commercial, financial, or client data confidential.
Prosperdigm will not sell, share, or disclose Client Data except as required to deliver services or by law.
Client Data remains the Client’s property; processed outreach data may be anonymised for performance analytics or internal benchmarking.
11. Intellectual Property
All software, systems, methods, copywriting frameworks, and materials remain the intellectual property of Newson International Ltd.
You are granted a non-exclusive, revocable licence to use Prosperdigm’s platform and materials for your subscribed term only.
Upon termination, this licence automatically ends.
12. Performance Disclaimer
Prosperdigm does not guarantee specific revenue or lead outcomes.
While our systems are designed for predictable booked calls, success depends on factors outside our control, including:

Market demand, product quality, and pricing.

Client responsiveness and feedback implementation.

LinkedIn algorithmic or policy changes.
No implied warranty of results is made beyond agreed deliverables.
13. Liability Limitation
To the maximum extent permitted by law:

Prosperdigm’s total liability under these Terms shall not exceed the amount paid by the Client within the preceding 3 months.

Prosperdigm shall not be liable for any indirect, incidental, or consequential loss, including loss of profit, opportunity, or goodwill.
14. Indemnity
Client agrees to indemnify and hold harmless Prosperdigm, its directors, staff, contractors, and affiliates from any claims or liabilities arising from Client’s misuse, unlawful outreach, or breach of these Terms.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales.
Any disputes will be subject to the exclusive jurisdiction of the Courts of England and Wales.
16. Amendments
We may amend these Terms periodically. Updates will be posted on Prosperdigm.com and will take effect 14 days after posting. Continued use constitutes acceptance of any amendments.
